What an MoU is for

A memorandum of understanding records the intent of two or more parties to work together and the principles they have agreed, before detailed contracts are negotiated. It is common for partnerships, joint projects and collaborations with institutions.

When is an MoU binding?

Indian courts look at substance, not the title. If an MoU contains all the essential terms of a contract and the parties intended to be bound, it can be enforced as a contract. If it is expressed as subject to a future agreement, or the terms are uncertain, it is usually treated as non-binding.

Draft it so there is no doubt

  • State which clauses are binding and which are not, by clause number.
  • Make confidentiality, exclusivity, costs, publicity and governing law binding.
  • Say that obligations to proceed arise only on signing definitive agreements.
  • Give the MoU an end date and a way to terminate it.
