Are electronic signatures legally valid in India? The IT Act, 2000 explained

What Indian law says about e-signatures, which documents can and cannot be signed electronically, and how to make an e-signed agreement stand up in a dispute.

The short answer

Indian law has recognised electronic records and electronic signatures since the Information Technology Act, 2000 came into force. Section 4 of the Act says that where a law requires information to be in writing, that requirement is satisfied by an electronic record that is accessible for later reference. Section 10A, added in 2008, confirms that a contract is not unenforceable merely because it was formed using electronic means.

The Indian Contract Act, 1872, which governs most business agreements, does not require a contract to be signed on paper at all. What matters is offer, acceptance, consideration, free consent and a lawful object. An electronic signature is therefore a reliable way to record acceptance, provided you can later prove who accepted and what they accepted.

Which documents cannot be signed electronically?

The First Schedule to the IT Act lists documents to which the electronic-record provisions do not apply. As of today these are:

  • Negotiable instruments under the Negotiable Instruments Act, 1881, other than cheques (for example promissory notes and bills of exchange).
  • Powers of attorney under the Powers of Attorney Act, 1882.
  • Trust deeds under the Indian Trusts Act, 1882.
  • Wills and other testamentary dispositions.
  • Contracts for the sale or conveyance of immovable property, or any interest in such property.

Simple e-signatures vs notified electronic signatures

The IT Act also defines specific forms of electronic signature: digital signatures based on asymmetric cryptography issued through licensed Certifying Authorities (DSCs), and electronic signature techniques notified in the Second Schedule, such as Aadhaar-based eSign. Where a particular law or authority insists on a signature in a prescribed form, for example many government filings, you need one of these.

For everyday commercial documents such as NDAs, offer letters, vendor agreements, statements of work and client contracts, no statute prescribes a particular form of signature. Businesses therefore commonly use secure electronic signatures backed by identity verification and an audit trail. The question in a dispute is not whether the signature is a DSC, but whether you can prove that the other party agreed to this exact document.

What makes an e-signed agreement hold up in court

Electronic records are admissible as evidence. Under the Bharatiya Sakshya Adhiniyam, 2023 (which replaced the Indian Evidence Act, 1872 from 1 July 2024), Section 63 governs electronic records and the certificate that accompanies them, much as Section 65B did before. Courts look at whether the record is authentic and has not been altered. Good evidence answers four questions:

  • Identity: how did each signer prove who they were? A one-time code sent to their email or phone is far stronger than a link alone.
  • Intent: did they knowingly agree? Look for consent to sign electronically and an explicit confirmation step.
  • Integrity: is the document exactly what they saw? A cryptographic hash and a digital seal show that nothing changed afterwards.
  • Time: when did it happen? Trusted timestamps from an independent authority are stronger than a server clock.

Stamp duty and registration still apply

Signing electronically does not change whether an instrument attracts stamp duty or needs registration. Those rules depend on the type of document and the State. If duty is payable, buy an e-stamp certificate and attach it as the first page of the PDF before sending it for signature.

A practical checklist

Before you send an important agreement for e-signature:

  • Confirm the document is not in the First Schedule exclusions.
  • Check whether stamp duty or registration applies, and attach the e-stamp first.
  • Verify signers with a one-time code to email or phone.
  • Keep the sealed PDF, the certificate of completion and the full audit trail together.
  • Have a lawyer review templates you will use repeatedly.

Frequently asked questions

Is a scanned signature an electronic signature?

A scanned image pasted into a PDF proves very little on its own because anyone can copy it. What gives an electronic signature weight is the surrounding evidence: identity verification, intent, an unaltered document and a reliable time record.

Can an employment offer letter be signed electronically?

Yes. Offer letters and employment agreements are ordinary contracts and are commonly e-signed in India. Keep the audit trail with the employee record.

Can a rental agreement be e-signed?

Leave and licence or rental agreements can be executed electronically, but they usually attract stamp duty and, in some States or for longer terms, registration. Pay the duty and complete registration as required.
